ORDER XXVIII.—CLERKS AND DRAUGHTSMEN (NOT CIVIL SERVICE OR LOCAL AUTHORITY), TYPISTS

Sub-order 1.—Clerks and Draughtsmen (not Civil Service or Local Authority), Typists

930.—Company Secretaries and Registrars

chartered secretary: a fellow or an Associate of the Chartered Institute of Secretaries (F.C.I.S. or A.C.I.S.) who is holding or has held office as a secretary q.v. of a joint stock company or other public body.
registrar (assurance, bank, dock, insurance, joint stock, or any other company): is responsible for keeping up-to-date and accurate registers required under the Companies' Consolidation Act, such as the register of members (comprising names, addresses, occupations, details of stocks or shares held by each member, together with amounts paid or still owing), registers of mortgages, register of directors and managers; prepares, or causes to be prepared, periodical statements statutorily required by the Registrar-General, and conducts correspondence with the Registrar-General; conducts correspondence with shareholders, etc., on legal and technical matters connected with sale or transfer of shares; is usually assisted by an expert staff.
secretary (assurance, bank, colliery, dock, harbour, insurance, joint stock or any other company): is in charge of secretarial office staff of a company, and transmits instructions from directorate to heads of departments; keeps records of meetings of directorate and is responsible for keeping books of company in order; convenes meetings of directorate and records decisions made in minute book; receives correspondence of company and is responsible for all out-going correspondence; may be authorised to sign cheques on behalf of directorate; in firms where there is no separate accountant (931) q.v. , is responsible for drawing up balance sheet and annual report at end of financial year.
secretary-accountant: in smaller joint stock companies, etc., combines the duties of secretary and accountant (939) q.v.
